This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and The Digital Intellect LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of the Client Intelligence Platform (“Platform”).

By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

1. GRANT OF LICENSE

Subject to the terms of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for internal business purposes in connection with your role at The Digital Intellect.

2. RESTRICTIONS

You may not:

a. Share your credentials or grant access to unauthorized individuals.
b. Use the Platform for any purpose outside of your authorized role at The Digital Intellect.
c. Reverse-engineer, decompile, or attempt to extract source code from the Platform.
d. Export, copy, reproduce, or redistribute any data, reports, or outputs generated by the Platform without prior written authorization.
e. Use the Platform to process data for clients or accounts not managed by The Digital Intellect.
f. Circumvent or attempt to bypass any authentication or access controls.

3. INTELLECTUAL PROPERTY

The Platform, including all software, designs, AI models, data pipelines, dashboards, and documentation, is the exclusive intellectual property of The Digital Intellect LLC. This Agreement grants no ownership rights. All rights not expressly granted are reserved.

4. DATA AND CONFIDENTIALITY

Client data processed through the Platform is confidential. Users must:

a. Treat all client-specific data, metrics, and AI-generated insights as confidential information.
b. Not export, share, or disclose client data outside of authorized internal workflows.
c. Report any suspected unauthorized access or data exposure to the Director of Technology Enablement immediately.

5. AI-GENERATED OUTPUTS

The Platform uses artificial intelligence (Google Gemini) to generate insights, summaries, and recommendations. These outputs are informational only and do not constitute professional advice. Users are responsible for verifying AI-generated outputs before acting on them.

6. TERMINATION

This license is effective until terminated. The company may revoke access
immediately upon:

a. Violation of any term in this Agreement.
b. End of the User’s employment or engagement with The Digital Intellect.
c. Company’s discretion, with or without notice.

Upon termination, you must immediately cease using the Platform.

7. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

9. GOVERNING LAW

This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Palm Beach County, Florida.

10. AMENDMENTS

Company reserves the right to update this Agreement at any time. Continued use of the Platform following notice of changes constitutes acceptance.
